1. Introduction

Welcome to ProMitra (“Company”, “we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile application, and associated services (collectively, the “Platform”).

By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree, you must not use our services.

2. Eligibility

By using ProMitra, you confirm that:

  • You are at least 18 years old, and
  • You are capable of entering into a legally binding agreement under the Indian Contract Act, 1872.

If you are using the Platform on behalf of a business, you represent that you are authorized to bind that entity to these Terms.

3. Nature of Services

ProMitra is a dropshipping facilitation platform that connects customers with third-party suppliers or manufacturers (“Sellers”).

We:

  • Provide an online interface to browse, order, and pay for products listed by Sellers.
  • Do not own, manufacture, store, or directly sell any products.
  • Act as a technology intermediary under the Information Technology Act, 2000.

All product orders, delivery, and returns are fulfilled by independent Sellers through logistics partners.

4. Account Registration

To access certain features, you may need to create a ProMitra account. You agree to:

  • Provide accurate and current information during registration,
  • Maintain confidentiality of your login credentials, and
  • Accept full responsibility for all activities under your account.

We reserve the right to suspend or terminate accounts involved in fraud, abuse, or policy violations.

5. Product Information and Pricing

We strive to ensure that product details, pricing, and availability are accurate. However:

  • Prices and stock levels may change without notice.
  • Images and descriptions are for reference only.
  • In case of a pricing or listing error, ProMitra reserves the right to cancel or modify any order.

All prices are in Indian Rupees (INR) and inclusive/exclusive of applicable Goods and Services Tax (GST), as indicated.

6. Payments

Payments on ProMitra may be made using:

  • Credit or Debit Cards,
  • UPI,
  • Net Banking, or
  • Any other supported payment gateway.

All transactions are securely processed by third-party payment providers compliant with RBI and NPCI guidelines.

ProMitra is not responsible for any payment failures, chargebacks, or delays caused by external payment processors.

7. Shipping and Delivery

  • Shipping timelines are provided by the Sellers and logistics partners.
  • Delivery delays may occur due to customs clearance, courier issues, or unforeseen factors.
  • Risk of loss or damage passes to you once the product is dispatched from the Seller’s location.

Tracking details will be shared when available.

8. Cancellations, Returns, and Refunds

ProMitra supports cancellations and returns as per the respective Seller’s return and refund policy.

Refunds, if approved, will be processed through the original payment method within a reasonable period.

Exceptions:

  • Items such as personal care, hygiene, customized, or perishable goods are non-returnable.
  • Defective or incorrect items must be reported within 48 hours of delivery.

9. User Obligations

You agree not to:

  • Violate any laws or regulations, including the Consumer Protection (E-Commerce) Rules, 2020;
  • Misrepresent information, misuse discount codes, or attempt fraudulent transactions;
  • Upload harmful content such as viruses, spam, or defamatory material.

ProMitra reserves the right to take appropriate legal action against violators.

10. Intellectual Property

All trademarks, designs, text, graphics, software, and other content on ProMitra are the property or its licensors.

You may not copy, reproduce, modify, distribute, or use any part of the Platform without prior written consent.

11. Third-Party Links and Services

Our Platform may contain links to third-party websites or services. These are provided for convenience only, and ProMitra does not endorse or control their content or privacy policies.
Use of such links is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law:

  • ProMitra shall not be liable for indirect, incidental, special, or consequential damages.
  • Our total liability for any claim shall not exceed the amount paid for the product giving rise to the claim.

We are not responsible for product quality, delivery timelines, or damages caused by Sellers or logistics partners.

13. Indemnification

You agree to indemnify and hold harmless ProMitra, its affiliates, employees, and partners from any losses, damages, or claims arising from your use of the Platform or violation of these Terms.

14. Privacy

Your use of the Platform is subject to our Privacy Policy, which complies with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

15. Termination

We may suspend or terminate your account if you:

  • Breach these Terms,
  • Engage in fraudulent or illegal conduct, or
  • Misuse the Platform.

Upon termination, your access will cease, but obligations related to pending payments, refunds, or liabilities will continue.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

17. Changes to Terms

ProMitra reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date.
Your continued use of the Platform constitutes acceptance of any such modifications.
